Replacing 2-ton HVAC with with a 3-ton

So I have a special situation. I had a entry grade 3-ton HVAC installed for our upstairs 3yrs ago. I will soon need to replace our 20+ year old (3/4 underground) basement unit which is 3/4 underground. We have a whole house dehumidifier downstairs since the unit runs very little.

I would like to swap the 3yr entry grade unit from the upstairs to the downstairs and get a more efficient unit upstairs. The upstairs unit gets a lot of work due to all the windows and the hot summers in NC.

I know oversized units can be a problem as they will not remove as much humidity (already have dehumidifier) and they are not as efficient. Since this downstairs unit does not run much anyways I am not that worried about efficiency. Are there other downsides? Will the undersized ducting be a big problem?
